End-User License Agreement

1. Introduction

This End-User License Agreement ("EULA") is a legally binding agreement between you (an individual or entity using the Platform) and One Purpose Logistics (Pty) Ltd ("One Purpose Logistics", "we", "us", "our"), a company registered in the Republic of South Africa.

This EULA governs your use of our logistics management platform, the client portal, the subcontractor portal, associated mobile applications, and any related services (together, the "Platform"). By registering an account, accessing, or using the Platform, you accept and agree to be bound by this EULA and our Privacy Policy.

2. License grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform, and any documentation we provide, solely for your internal business purposes and strictly in accordance with the role assigned to your account (for example as a client or as a subcontractor).

You may not license, sublicense, sell, resell, rent, lease, lend, transfer, or otherwise make the Platform available to any third party, except for your own employees or authorised users who are bound by terms at least as restrictive as this EULA.

3. Accounts and security

• You must provide accurate, complete and up-to-date registration information and keep it current.
• You are responsible for safeguarding your username and password and for all activity under your account.
• You must notify us immediately of any actual or suspected unauthorised access to your account.
• Your access is personal to the role assigned to you. You may only view and use information that has been allocated to you (for example, subcontractors may only view loads allocated to them).
• We reserve the right to suspend or terminate accounts that are dormant, abusive, or in breach of this EULA.

4. Acceptable use

You agree not to misuse the Platform, including but not limited to:

• Attempting to access, view, or modify data belonging to other users, clients, or subcontractors;
• Circumventing access controls, authentication, or security features;
• Uploading malicious code, viruses, or anything designed to disrupt the Platform;
• Reverse engineering, decompiling, or attempting to extract the source code of the Platform;
• Using the Platform for any unlawful, fraudulent or unauthorised purpose;
• Probing, scanning, or testing the vulnerability of the Platform without our written authorisation.

We take the security of our users' information seriously. Any attempt to access information outside your authorised role is a breach of this EULA and may result in termination of your account and legal action.

5. Platform services

The Platform enables the management of logistics jobs and loads, including job creation and allocation, subcontractor onboarding and availability, load scheduling and tracking, telematics, documents and permits, messaging, and invoicing. We may add, change, or remove features from time to time. Certain features may require a paid subscription or agreement.

6. Fees and payment

• Where fees apply, they will be set out in your applicable agreement or subscription terms and are payable in accordance with those terms.
• Invoices are issued electronically and are payable within the agreed payment period.
• Subcontractor payment terms for services rendered are governed by the applicable transport contract or rate card agreed with us.
• We may suspend accounts where amounts are overdue and unpaid after due notice.

7. Intellectual property

The Platform, including its software, design, text, graphics, logos, data structures and documentation, is the intellectual property of One Purpose Logistics or its licensors and is protected by South African and international laws. This EULA does not transfer any ownership rights to you. You may not remove, obscure, or alter any proprietary notices appearing in or on the Platform.

8. Confidentiality and data

You agree to keep confidential all non-public information obtained through the Platform, including pricing, client and subcontractor details, load information and commercial terms, and to use such information only for the purpose of performing your role. This obligation survives termination of this EULA.

All personal information collected through the Platform is processed in accordance with our Privacy Policy and applicable law, including the Protection of Personal Information Act, 2013 (POPIA).

9. Availability and support

We use commercially reasonable efforts to keep the Platform available and secure, but we do not guarantee that it will be uninterrupted, error-free, or available at all times. The Platform may be unavailable for scheduled maintenance, upgrades, or circumstances beyond our control. Telematics, GPS and third-party data feeds are provided as-is and may be subject to interruption.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will meet your requirements or that the operation of the Platform will be error-free. Nothing in this EULA limits or excludes liability that cannot be limited or excluded under applicable law.

11. Limitation of liability

To the maximum extent permitted by law, One Purpose Logistics and its directors, employees, agents and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunity, arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages. Our total aggregate liability arising from or related to this EULA will not exceed the fees you have paid to us for the Platform in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless One Purpose Logistics, its directors, employees, agents and suppliers from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your breach of this EULA, or your violation of any law or the rights of any third party.

13. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause and with or without notice. You may stop using the Platform and close your account at any time. On termination, your license to use the Platform ends, and we may deactivate your account and delete or retain your data as required by law. Sections that by their nature should survive termination (including confidentiality, intellectual property, disclaimers, limitation of liability and indemnification) will survive.

14. Governing law and changes

This EULA is governed by the laws of the Republic of South Africa, and the parties submit to the exclusive jurisdiction of the courts of South Africa. We may update this EULA from time to time. Updated versions will be published on this page and, where the changes are significant, we will notify registered users. Continued use of the Platform after changes take effect constitutes acceptance of the updated EULA.
